Terms of Use

1. Purpose
These Terms of Use (the “Terms”) define the conditions under which users may access and use PayShare, an application that allows users to manage and split expenses between several people and facilitate their settlement using crypto-assets.
PayShare is accessible through the Nimiq Pay ecosystem as well as from the website https://payshareapp.com/.
Use of PayShare constitutes full and unconditional acceptance of these Terms.
If the user does not agree to these Terms, they must stop using PayShare.
2. Publisher
PayShare is currently an unregistered project operated on a personal basis.

3. Description of the Service
PayShare allows users to:
- create expense groups;
- add participants;
- add expenses;
- split expenses between participants;
- choose an equal or customized split;
- share a group with other users via a link or QR code;
- view amounts owed between participants;
- determine the payments required to settle balances;
- facilitate the settlement of amounts owed using crypto-assets through the user's compatible environment.
PayShare is a tool for managing and calculating expenses between users.
4. Creation and Operation of Groups
A user may create a group corresponding, in particular, to a meal, a trip, an activity, a shared gift, or any other shared expense.
The group creator may add participants and record the relevant expenses.
Participants may be identified using the information provided by the application and, where necessary for settlement, their compatible wallet address.
The user is responsible for the accuracy of the information they enter.
The calculations displayed by PayShare are intended to facilitate the allocation of expenses and do not constitute legal proof of the existence or amount of a debt between users.
5. Group Sharing
PayShare may allow a group to be shared through a link, QR code, or any other mechanism offered by the application.
The user should consider any sharing link as information that may be accessible to anyone who obtains it.
The user is responsible for the links they share and should avoid communicating them to unauthorized persons.
The publisher cannot be held liable for the use of a group link by any person who has gained access to it.
6. Calculation of Amounts Owed
PayShare automatically performs calculations intended to determine the amounts owed between participants based on the information entered into the group.
The user must verify the information entered and the amounts displayed before making or validating a payment.
In the event of an input error, incorrect allocation, or incorrect information provided by a user, that user remains responsible for any resulting consequences.
7. Crypto-Asset Payments
PayShare may facilitate the settlement of amounts owed between participants using crypto-assets, including NIM.
Payments are initiated and validated by the user within their compatible wallet environment, including Nimiq Pay.
PayShare does not intend to hold, store, or administer users’ crypto-assets.
PayShare does not ask users to provide their private key, recovery phrase, or secret wallet credentials.
The user remains solely responsible for validating their transactions.
Before validating any transaction, the user must verify, in particular:
- the transaction amount;
- the recipient;
- the information displayed in their wallet;
- any information relating to the transaction.
A validated blockchain transaction may be irreversible.
PayShare cannot guarantee the cancellation, modification, or recovery of a transaction that has already been confirmed on the blockchain.
8. Transaction Fees
PayShare currently does not charge any service fees for payments made through the application.
However, any technical fees associated with the operation of the blockchain network or third-party services may apply independently of PayShare.
The publisher reserves the right to modify its pricing policy in the future. Any material change will be communicated to users.
9. Nature of the Service and No Financial Advice
PayShare is a tool designed to facilitate the management and settlement of shared expenses.
PayShare does not provide:
- investment advice;
- recommendations to buy or sell crypto-assets;
- financial advice;
- portfolio management services;
- crypto-asset custody services.
The user remains solely responsible for their decisions regarding the crypto-assets they use.
10. Risks Associated with Crypto-Assets
The use of crypto-assets involves risks, including:
- volatility in their value;
- potential loss of value;
- incorrect destination addresses;
- loss or compromise of wallet access credentials;
- irreversible transactions;
- malfunction or unavailability of a blockchain network;
- network congestion or slowdowns;
- failure of a third-party service or wallet.
The user acknowledges that they use PayShare and crypto-assets at their own risk.
11. Third-Party Services
PayShare may depend on services, software, infrastructure, or protocols operated by third parties.
In particular, PayShare is designed to operate with the Nimiq ecosystem and Nimiq Pay.
The use of these services may be subject to their own terms and privacy policies.
PayShare is not responsible for interruptions, modifications, errors, or unavailability originating from third-party services beyond its control.
12. Service Availability
The publisher makes reasonable efforts to keep PayShare accessible and operational.
However, PayShare may be temporarily unavailable, particularly due to:
- maintenance operations;
- updates;
- technical issues;
- hosting issues;
- failures of third-party services;
- issues affecting the blockchain network;
- circumstances beyond the publisher’s control.
The publisher does not guarantee permanent or uninterrupted availability of the service.
13. Prohibited Use
The user agrees to use PayShare lawfully and in accordance with these Terms.
In particular, users are prohibited from using PayShare to:
- carry out or facilitate fraudulent activity;
- launder funds or finance illegal activities;
- impersonate another person;
- use PayShare for fraud or scams;
- knowingly transmit false or misleading information;
- attempt to compromise the security of PayShare;
- intentionally disrupt or overload the service infrastructure;
- introduce malicious software;
- circumvent security mechanisms or service restrictions;
- use PayShare for purposes contrary to applicable laws and regulations.
The publisher may suspend or prevent access to the service where it has legitimate grounds to suspect abusive, fraudulent, or illegal use.
14. User Responsibility
The user is responsible for their use of PayShare and for the information they provide.
In particular, the user must verify:
- recorded expenses;
- participants;
- amounts;
- allocations;
- wallet addresses;
- transactions before validating them.
The user is also responsible for the security of their device and wallet.
15. Publisher Liability
To the extent permitted by applicable law, the publisher shall not be held liable for damages resulting in particular from:
- an input error by the user;
- an incorrect wallet address;
- an incorrect or irreversible blockchain transaction;
- loss of access to a wallet;
- a failure of the blockchain network;
- a failure of a third-party service;
- temporary interruption of PayShare;
- fraudulent use of the user’s account, sharing link, or device;
- an event beyond the publisher’s control.
Nothing in these Terms is intended to exclude or limit any liability that cannot legally be excluded or limited.
16. Intellectual Property
PayShare, its name, logo, visual identity, interface, graphic elements, texts, software, and the components thereof are protected by applicable intellectual property laws.
Unless expressly authorized by the publisher, any reproduction, modification, adaptation, distribution, or exploitation of all or part of PayShare is prohibited.
Trademarks, names, and elements belonging to third parties remain the property of their respective owners.
17. Personal Data
The use of PayShare may involve the processing of certain personal data.
The terms governing the collection, use, retention, and protection of such data are detailed in PayShare’s Privacy Policy.
The user has rights regarding their personal data under the conditions provided by applicable regulations.
18. Amendments to the Terms
The publisher may modify these Terms, particularly to reflect changes to PayShare, its features, or applicable regulations.
The version in force is the version published on PayShare at the time of consultation.
In the event of a material change, the publisher may inform users by any appropriate means.
19. Suspension or Termination of the Service
The publisher may suspend, modify, or terminate all or part of PayShare, particularly for technical, security, regulatory, or economic reasons.
Where possible, the publisher will endeavor to inform users in the event of a permanent termination of the service.
20. Applicable Law
These Terms are governed by French law, subject to any mandatory provisions that may apply to users located in other jurisdictions.
If any provision of these Terms is declared invalid or unenforceable, the remaining provisions shall remain applicable.
